Realheart continues to work towards an approval of the Company’s artificial heart to help heart failure patients worldwide.
The Board of Directors of Realheart has decided to carry out a rights issue of approximately SEK 56 million. This issue, together with the investment from EIC, is expected to finance the completion of the preclinical studies. The next chapter will be clinical studies on patients. Support from current and future shareholders is crucial for continued success.
Issue amount: approx. 56 MSEK
Terms: For each one (1) share held on the record date of June 16, 2023, one (1) unit right was received. One (1) unit right gives the right to subscribe for one (1) unit.
Unit: One (1) unit consists of two (2) newly issued shares and one (1) warrant of series TO2.
Subscription price: The subscription price is SEK 1.60 per unit, corresponding to SEK 0.80 per share. The warrants are issued free of charge.
Subscription period: June 20 – July 7, 2023
Trading with unit rights: June 20 – July 4, 2023
Warrants: Two (2) warrants of series TO2 entitle the holder to subscribe for one (1) new share in the Company at 70 percent of the volume-weighted average price of the Company’s share ten (10) days before the subscription period, but not more than SEK 2. The subscription period for the warrants runs during the period from and including January 2, 2025 to and including January 31, 2025.
Guarantee and subscription commitments: The Rights Issue is guaranteed to approximately 60.6 percent through subscription commitments (approximately 9.5 percent) and guarantee commitments (approximately 51.2 percent). The guarantee commitments and subscription commitments are not secured by bank guarantees, blocked funds, pledges or similar arrangements.
